What it means to

become a member

Being a member will give you the chance to elect CBC's Board of Directors and agree on any changes to the Company's Articles of Association that govern the way we operate, through participation in our Annual General Meetings.

CBC Health Federation Governance and Structure

CBC Health Federation is established as a Private Company Limited by Guarantee without Share Capital, which differs from a company limited by shares were shareholders control decisions.

The current Private Company Limited by Guarantee without Share Capital model:

• Members hold democratic control of the company by electing the Board of Directors and voting on changes to the Company's Articles of Association by Special Resolution.

• CBC's Board of Directors is responsible for managing the company’s internal affairs and operations.

• The Articles of Association set out the rules for governance and management of CBC Health Federation.

• This structure ensures CBC Health operates as a not-for-profit organisation.

Who can become a member

Membership is open to Gateshead GP Practices.​

​

All applications are subject to approval by CBC Health Federation Board.

​

• Membership is free of change.

• We are required to review our Register of Members on an annual basis to:

- ensure it is up to date,

- all members continue to meet the membership criteria

- we hold the correct details about you.
